Terms of service

Effective date: September 18, 2026
Last updated: October 17, 2026

PLEASE READ THESE TERMS CAREFULLY. THEY CONTAIN A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER (SECTION 20) THAT AFFECT YOUR LEGAL RIGHTS. IF YOU ARE A U.S. RESIDENT, UNLESS YOU OPT OUT WITHIN 30 DAYS AS DESCRIBED IN SECTION 20, DISPUTES BETWEEN YOU AND KENZEN WILL BE RESOLVED BY INDIVIDUAL ARBITRATION, NOT IN COURT, AND YOU WAIVE THE RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN A CLASS ACTION.

1. Who we are and what these Terms cover

These Terms of Service ("Terms") are a legal agreement between you and Kenzen Limited ("KENZEN", "we", "us" or "our"), the company that operates kenzen.shop and sells the products offered on it. KENZEN is an Icelandic-designed activewear and lifestyle brand. These Terms govern your access to and use of kenzen.shop, any KENZEN store hosted on Shopify under that name, our customer service, and any purchase you make from us (together, the "Services").

By visiting the Services, creating an account, subscribing to our emails or placing an order, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services. Other KENZEN websites are operated under their own terms.

We may update these Terms from time to time (see section 25). The version in force when you place an order applies to that order.

2. Eligibility

You may browse the Services only if you are at least 13 years old. You may place an order only if you are at least 18 years old (or the age of majority where you live), are legally capable of entering into a binding contract, and are using a payment method you are authorized to use. If you are under 18, you may use the Services only with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on your behalf. We may refuse service, cancel orders or close accounts at our discretion where we reasonably believe these requirements are not met.

3. Your account

You may shop as a guest or create a customer account. You are responsible for keeping your login details confidential and for all activity under your account. You must give us accurate, complete and current information and keep it up to date. Notify us immediately at kenzen@kenzen.shop if you suspect unauthorized use of your account. We may suspend or close accounts that we reasonably believe are being used in breach of these Terms, fraudulently, or for commercial resale.

4. Products, descriptions and availability

We try hard to display our products accurately, but colors, textures and finishes can appear differently depending on your screen, and product images (including any that are digitally enhanced or generated) are for illustration only. Fit and sizing guidance is provided in good faith as a guide; fabrics behave differently and results vary between body types. Products are available while stocks last, may be limited in quantity, and may be changed or discontinued at any time without notice. If a product you ordered is unavailable, we will tell you and refund any amount paid for it.

Our products are apparel intended for general use and physical activity. They are not protective equipment and do not prevent injury. Consult a physician before beginning any exercise program.

5. Prices, taxes, duties and currency

Currency. Prices are shown in the currency selected at checkout (U.S. dollars by default). Your bank or card issuer may apply its own exchange rate and fees.

Import duties and taxes for U.S. orders. For orders shipped to the United States, the price you see at checkout includes all import duties, tariffs and customs fees ("Delivered Duty Paid"). You will not be asked to pay any additional customs charges on delivery. Applicable U.S. state and local sales tax, where required, is calculated and shown at checkout based on your shipping address.

Orders to other countries. Where we ship to other countries, checkout will state whether duties and taxes are included in the price or payable on delivery. If they are payable on delivery and you refuse the parcel or fail to pay, the carrier may return or destroy it and we may deduct the shipping, return and any duty costs we incur from your refund.

Price changes and errors. Prices may change at any time, but changes will not affect orders we have already accepted. Despite our best efforts, a small number of products may be mispriced or misdescribed. If the correct price is higher than the price shown, we will contact you before dispatch and give you the choice of paying the correct price or cancelling. If we discover an obvious pricing or description error after acceptance, we may cancel the order and refund you in full, even if the order has been confirmed or dispatched, in which case you must return the product at our cost. We are not obliged to sell a product at an incorrect price.

6. Orders and our acceptance

Your order is an offer to buy the products in your cart. Our order confirmation email acknowledges receipt of your offer but does not accept it. A contract is formed only when we dispatch the products to you and send you a shipping confirmation, and only for the products listed in that confirmation. We may decline or cancel any order, in whole or in part, before dispatch for reasons including: the product is unavailable; we cannot verify your billing or payment details; our fraud-screening tools flag the order; the order appears to be for commercial resale; the shipping address is one we cannot deliver to; a pricing or description error; or a breach of these Terms. If we cancel an order after payment, we will refund the amounts paid for the cancelled items.

We may set quantity limits per person, per order, per payment method or per address, and may cancel orders that exceed them. We may also require additional verification before accepting any order.

Changing or cancelling an order. Because we start processing orders quickly, we cannot guarantee changes or cancellations after an order is placed. Email kenzen@kenzen.shop as soon as possible with your order number and we will try to help. If the order has already been dispatched, you may return it under section 9.

7. Payment

We accept the payment methods shown at checkout, which may include credit and debit cards processed by our payment provider (currently Airwallex), Klarna, Shop Pay and digital wallets. By submitting payment you represent that you are authorized to use the payment method and authorize us and our payment providers to charge the full amount of your order, including shipping and taxes, at the time of order or dispatch. Card issuers may show a pending authorization before the charge is finalized. If a payment is declined, reversed or charged back, we may cancel the order and, where products have already been delivered, you remain liable for the amount due.

Klarna and other buy-now-pay-later services. If you choose Klarna, you enter into a separate agreement with Klarna, which decides in its sole discretion whether to offer you its payment options and which is governed by Klarna's own terms and privacy notice. We are not a party to that agreement and are not responsible for Klarna's decisions, fees or services.

Chargebacks. Please contact us before disputing a charge with your bank; we resolve almost every issue directly. Chargebacks filed for orders that were delivered as described, or that are being handled under our returns process, may be contested with the evidence we hold and may result in suspension of your account.

8. Shipping and delivery

Where we ship. We ship to the countries listed at checkout. We do not ship to freight forwarders, P.O. boxes or APO/FPO addresses unless checkout allows it. You are responsible for entering a complete and accurate shipping address; we are not liable for orders delivered to an incorrect or incomplete address you provided, and any re-delivery or return costs caused by an address error may be deducted from your refund.

Processing and delivery times. We aim to process orders promptly after payment is confirmed. Any dispatch or delivery timeframes shown at checkout, in emails or on the Services are estimates only, are not guaranteed, and do not form part of the contract. Delivery times depend on the destination, carrier, customs clearance and factors outside our control (such as weather, strikes, peak-season volumes or carrier delays), and we are not liable for delays caused by those factors. If we become aware of a significant delay we will let you know.

Shipping costs. Shipping costs, if any, are shown at checkout before you place your order and are charged in addition to the product price unless a free-shipping promotion applies.

Tracking, delivery and risk of loss. You will receive a tracking link when your order ships. Title to the products passes to you when we receive full payment, and risk of loss or damage passes to you when the products are delivered to the shipping address you provided (or to a person at that address, a safe place chosen by the carrier, or a pickup point you selected). If the carrier's tracking shows a parcel as delivered but you have not received it, contact us within 7 days of the recorded delivery date so that we can open a carrier investigation; we will work with you in good faith to replace or refund parcels that are confirmed lost in transit. We may require you to sign a declaration of non-receipt and may decline claims where tracking, carrier evidence or previous claims indicate otherwise.

Failed or refused deliveries. If a parcel cannot be delivered because of an incorrect address, because nobody was available after the carrier's attempts, because it was not collected from a pickup point, or because you refused it, and it is returned to us, we will refund the product price less the outbound shipping cost and any return shipping, duty or handling costs we incur. If the parcel is lost or destroyed by the carrier as a result, we are not obliged to refund it.

Pre-orders and back-orders. If a product is offered for pre-order, the estimated dispatch date shown is an estimate only. You may cancel a pre-order for a full refund at any time before dispatch by emailing us.

9. Returns, exchanges and refunds

We want you to love what you bought. This section is our returns policy for online purchases and applies in addition to any rights you have under mandatory consumer law (see section 22).

9.1 Return window. You may return eligible products for a refund, an exchange or store credit within 30 calendar days of the delivery date shown in the carrier's tracking. This includes products bought on sale, unless marked "Final Sale" (section 9.3). Returns requested after this period are generally not accepted; if you have exceptional circumstances, please contact us before sending anything.

9.2 Condition. To be eligible, each product must be unworn (other than to try on) and unwashed, in its original, resalable condition and free of odors, make-up, deodorant, pet hair and stains, with all original labels and tags attached, and returned in the original bag in which it was delivered. Products that do not meet these conditions cannot be refunded, exchanged or credited and will not be returned to you, because they cannot be resold.

9.3 Non-returnable items. For hygiene and other reasons, the following cannot be returned or exchanged unless faulty: underwear, socks, gift cards, and any product marked "Final Sale" at the time of purchase. Products bought with a promotional discount are returnable unless marked Final Sale, and are refunded at the price actually paid.

9.4 How to return. Register every return through our Returns Portal at return.kenzen.shop (also linked in the website footer and in our Help Center) using your order number and the email address used for the order. The portal will show you the return options available for each item (refund, exchange or store credit) and let you purchase a return label to our return address. We will review your request and email you the next steps; please do not send anything back until you have received them. Drop off your parcel within 7 days and include products from one order only in each parcel. If you received an order as a gift, the person who placed the order must register the return or contact us. Returns sent without registration in the portal, to any other address, or after the return window cannot be processed and may be treated as abandoned if we cannot identify them.

9.5 Return shipping. Unless the return is due to our error or a faulty product (section 9.8), you pay for return shipping, for refunds, exchanges and store credit alike, by purchasing a return label in the Returns Portal; the price is shown before you pay. Return shipping and the original outbound shipping cost, if any, are not refunded. You are responsible for the products until they are received at our return address, so please keep your drop-off receipt and use the tracking number on your label to follow your return.

9.6 Inspection and refunds. Returned products are inspected at our return hub. Once the return is approved, we will process your refund to the original payment method (or, for Klarna purchases, through Klarna) within 10 business days of approval and send you a confirmation email; we cannot refund a different account or payment method. Please allow up to 3 business days, or longer depending on your bank or card issuer, for the refund to appear. Refunds cover the price paid for the returned products (including any duties included in that price). Where a discount or promotion applied to the whole order, and the returned items mean the order no longer meets the promotion's conditions, the value of the discount may be deducted from the refund.

9.7 Exchanges and store credit. You may exchange an eligible product for a different size or color of the same product by choosing an exchange in the Returns Portal. Exchanges are subject to availability and are processed within 3–7 business days after your return has been received and checked. If the item you want is no longer available, we will contact you to offer another size, color or product of the same value, store credit or a refund. Instead of a refund or exchange, you may choose store credit for the price paid for the returned products, issued as a KENZEN e-gift card by email after your return has been checked; store credit can be used on any product at kenzen.shop and is subject to section 10. Exchanged products are subject to the same condition requirements.

9.8 Faulty, damaged or incorrect items. Please do not register a standard return for a damaged, faulty or incorrect item. If a product arrives damaged or you receive an incorrect or incomplete order, please contact us at kenzen@kenzen.shop within 7 days of delivery. If a product develops a fault in normal use, please contact us within 30 days of delivery. Include your order number, photos of the product and packaging and a short description of the issue. We will provide a free return label and, at your choice, a replacement (where available) or a full refund including any shipping you paid. Normal wear and tear, damage caused by misuse, incorrect washing or alteration, and minor variations in color or measurement are not defects. Claims made after these periods will be handled in accordance with your rights under applicable law.

9.9 Abuse of the returns process. We may refuse returns, close accounts or decline future orders where we reasonably believe the returns process is being abused (for example wardrobing, returning items other than those purchased, or repeated claims of non-receipt).

10. Discount codes, promotions and gift cards

Discount codes and promotions are valid only for the period, products and conditions stated with them, cannot be combined with other offers unless we say otherwise, apply to full-price items only unless stated, have no cash value, and cannot be applied to a completed order. One code may be used per order. We may withdraw, amend or refuse to honor a code at any time, including where it has been distributed without our authorization or used in breach of its conditions. If you return items bought with a promotion, refunds are calculated as described in section 9.6.

Gift cards. KENZEN e-gift cards, including store credit issued as an e-gift card, are digital and delivered by email. They can be redeemed only at kenzen.shop, in U.S. dollars, by entering the code at checkout. The available balance is shown at checkout, any unused balance remains on the card, more than one gift card may be used on an order, and any remaining amount can be paid with another accepted payment method. KENZEN gift cards do not expire and cannot be used to buy other gift cards. Except where required by law, gift cards are not redeemable for cash and cannot be cancelled, returned, refunded or exchanged. Please keep your gift card code safe: anyone with the code can use it, and we are not responsible for lost or stolen codes, although we can resend a gift card email to the address it was originally sent to.

11. Marketing communications

If you subscribe to our emails or agree to receive marketing, we will send you communications as described in our Privacy Policy. You may unsubscribe at any time using the link in any marketing email. Transactional messages about your orders are sent regardless of your marketing preferences. If you give us a mobile number, you consent to receive transactional text messages about your order; message and data rates may apply, and you can reply STOP to opt out.

12. Intellectual property

The Services and everything on them, including the KENZEN name and logo, product names such as SoftForm, ActiveSculpt, SoftSculpt and Motion, designs, text, graphics, photographs, videos, look and feel, software and their selection and arrangement, are owned by or licensed to Kenzen Limited and are protected by copyright, trademark and other laws. You are granted a limited, personal, non-exclusive, non-transferable, revocable license to use the Services for personal shopping only. You may not copy, reproduce, modify, distribute, publicly display, create derivative works from, scrape, frame or commercially exploit any part of the Services or their content without our prior written permission. All rights not expressly granted are reserved.

13. Content you submit and social media

If you submit reviews, comments, photos, videos, questions or other content to us or the Services, or tag us or use our hashtags on social media ("User Content"), you grant Kenzen Limited a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable and transferable license to use, reproduce, modify, adapt, publish, translate, distribute and display that User Content, together with your name and social-media handle, in any media for marketing, promotional and business purposes, without further notice, compensation or approval, subject to our Privacy Policy. Where we ask you directly for permission to feature specific content, we will use it only within the scope you agree to. You represent that you own or have the rights to the User Content, that it does not infringe anyone's rights, that anyone shown in it has consented, and that you are at least 18 (or have parental consent). User Content must not be unlawful, false, defamatory, obscene, infringing, or contain personal information about others without consent. We may remove or decline to publish User Content at any time and are not responsible for content posted by others. Reviews reflect the personal opinions of customers, not ours.

If you believe content on the Services infringes your copyright, send a notice containing the information required by the U.S. Digital Millennium Copyright Act to kenzen@kenzen.shop with the subject line "Copyright notice".

14. Acceptable use

You agree not to: use the Services for any unlawful purpose or in breach of these Terms; place fraudulent, speculative or bulk orders or orders for resale; use bots, scrapers, automated tools or multiple accounts to access the Services or purchase products; interfere with the security or operation of the Services; upload malicious code; impersonate any person; collect information about other users; infringe anyone's intellectual property or privacy; or harass, threaten or abuse our team or other customers. We may investigate breaches, suspend or terminate your access, cancel orders and take legal action.

15. Third-party services and links

The Services rely on third-party services, including Shopify, payment providers, Klarna, carriers and our returns portal, and may link to third-party websites and social-media platforms. We do not control and are not responsible for third-party services, content or terms, and your use of them is at your own risk and subject to their terms and privacy policies.

16. Disclaimer of warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE", AND WE DISCLAIM ALL WARRANTIES OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT CONTENT IS ACCURATE OR COMPLETE. PRODUCTS ARE SOLD WITH THE RETURN AND FAULTY-ITEM REMEDIES DESCRIBED IN SECTION 9, WHICH, TOGETHER WITH ANY RIGHTS THAT CANNOT BE EXCLUDED UNDER APPLICABLE LAW, ARE YOUR SOLE REMEDIES FOR PRODUCT ISSUES. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

17. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, KENZEN LIMITED AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, SUPPLIERS AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL OR OPPORTUNITY, ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS OR ANY PRODUCT, WHETHER BASED ON CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES, THESE TERMS OR ANY PRODUCT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US FOR THE ORDER GIVING RISE TO THE CLAIM AND (B) ONE HUNDRED U.S. DOLLARS (US$100).

NOTHING IN THESE TERMS EXCLUDES OR LIMITS OUR LIABILITY FOR DEATH OR PERSONAL INJURY CAUSED BY OUR NEGLIGENCE, FOR FRAUD, OR FOR ANY LIABILITY THAT CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW. SOME JURISDICTIONS DO NOT ALLOW THE LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU; IN THAT CASE OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

18. Indemnification

You agree to defend, indemnify and hold harmless Kenzen Limited and its affiliates, officers, directors, employees, agents and service providers from and against any claims, liabilities, damages, losses, costs and expenses (including reasonable attorneys' fees) arising out of or relating to your breach of these Terms, your User Content, your violation of any law or the rights of any third party, or your misuse of the Services.

19. Termination

We may suspend or terminate your access to the Services, close your account or cancel orders at any time, with or without notice, if we reasonably believe you have breached these Terms or applicable law, or to protect the Services, our customers or our business. You may stop using the Services at any time. Sections that by their nature should survive termination (including sections 12, 13, 16, 17, 18, 20, 21 and 24) will survive.

20. Dispute resolution, binding arbitration and class action waiver (United States)

This section applies if you live in the United States. Please read it carefully.

20.1 Informal resolution first. Most concerns can be resolved quickly by emailing kenzen@kenzen.shop. Before starting arbitration or any court proceeding, you and we agree to try to resolve any dispute, claim or controversy arising out of or relating to these Terms, the Services or any product ("Dispute") informally. The party raising the Dispute must send the other a written notice ("Notice") that includes the claimant's name, address and email, the order number(s) concerned, a description of the Dispute and the specific relief sought. Notices to us must be emailed to kenzen@kenzen.shop with the subject line "Notice of Dispute"; Notices to you will be sent to the email address on your account or order. The parties will then make a good-faith effort to resolve the Dispute, including through at least one telephone or video conference if either party requests it. If the Dispute is not resolved within 60 days of receipt of the Notice, either party may start arbitration as set out below. Completing this informal process is a condition precedent to starting arbitration, and any statute of limitations is tolled while it is ongoing.

20.2 Agreement to arbitrate. Except as provided in section 20.3, you and Kenzen Limited agree that any Dispute will be resolved exclusively by final and binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules then in effect (available at www.adr.org), as modified by this section. This agreement to arbitrate is governed by the Federal Arbitration Act (9 U.S.C. §1 et seq.) and applies to claims arising before, on or after the effective date of these Terms, including claims against our affiliates, service providers and their respective officers, directors, employees and agents. The arbitrator, and not any court, has exclusive authority to resolve any dispute about the interpretation, applicability, enforceability or formation of this arbitration agreement, except that a court will decide any dispute about the enforceability of the class action waiver in section 20.5.

20.3 Exceptions. Either party may (a) bring an individual claim in small claims court if it qualifies and remains in that court on an individual basis; (b) seek injunctive or other equitable relief in court to protect intellectual property rights; and (c) report matters to a government agency. Nothing in this section prevents you from bringing issues to the attention of federal, state or local agencies, which may seek relief against us on your behalf.

20.4 Arbitration procedure. A single arbitrator will be appointed under the AAA rules. The arbitration will be conducted in English. Hearings, if any, will be held by videoconference or telephone unless the arbitrator decides an in-person hearing is necessary, in which case it will be held in the county where you live or another mutually agreed location. The arbitrator may award the same individual relief that a court could award, must follow these Terms and applicable law, and must issue a reasoned written decision. Payment of filing, administrative and arbitrator fees will be governed by the AAA Consumer Arbitration Rules and the AAA Consumer Due Process Protocol; where those rules require us to pay fees, we will do so, and if you show that the cost of arbitration would be prohibitive compared with the cost of litigation, we will pay as much of the fees as the arbitrator deems necessary. Each party bears its own attorneys' fees unless the arbitrator finds a claim or defense frivolous or brought for an improper purpose, or applicable law provides otherwise. Judgment on the award may be entered in any court of competent jurisdiction.

20.5 Class action and jury trial waiver. YOU AND KENZEN LIMITED AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL OR REPRESENTATIVE PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS OR PRESIDE OVER ANY FORM OF CLASS OR REPRESENTATIVE PROCEEDING, AND MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF. TO THE FULLEST EXTENT PERMITTED BY LAW, YOU AND WE WAIVE THE RIGHT TO A TRIAL BY JURY. If this class action waiver is found unenforceable as to a particular claim or request for relief, that claim or request (and only that claim or request) will be severed from the arbitration and brought in court under section 21, while the remaining claims proceed in arbitration.

20.6 Mass arbitration. If 25 or more similar arbitration demands are filed against us by the same or coordinated counsel within a 90-day period, the AAA's Mass Arbitration Supplementary Rules will apply, and in addition: the demands will be administered in batches of 25, with one batch proceeding at a time and the others stayed; each batch will be assigned a separate arbitrator; filing fees will be due only for the batch in progress; and after the first batch is resolved the parties will engage in a single global mediation before further batches proceed. Any statute of limitations is tolled from the filing of a demand until the batch containing it is resolved. If this section is found unenforceable, the remaining provisions of section 20 continue to apply.

20.7 Your right to opt out. You may opt out of this arbitration agreement by emailing kenzen@kenzen.shop with the subject line "Arbitration opt-out" within 30 days of first accepting these Terms (for example, the date of your first order), stating your full name, email address, order number if any, and that you wish to opt out. Opting out will not affect any other part of these Terms, including the class action waiver to the extent permitted by law, and will not affect any previous arbitration agreement between you and us.

20.8 Time limit for claims. To the fullest extent permitted by law, any Dispute must be started (by sending a Notice under section 20.1) within one year after the claim arises; otherwise it is permanently barred.

20.9 Changes to this section. If we change this section 20 after you first accepted these Terms, you may reject the change by emailing us within 30 days of the change, in which case the version of section 20 you last accepted will continue to apply to Disputes between us.

20.10 Severability. If any part of this section 20 other than the class action waiver is found unenforceable, that part will be severed and the rest of the section will remain in force.

21. Governing law and venue

For customers in the United States, these Terms and any Dispute are governed by the Federal Arbitration Act and the laws of the State of New York, without regard to its conflict-of-law rules, except that the consumer-protection laws of the state in which you reside will apply to the extent they cannot be waived and provide you with greater protection. Subject to section 20, any Dispute that is not subject to arbitration will be brought exclusively in the state or federal courts located in New York County, New York, and you and we consent to their personal jurisdiction, although we may seek injunctive relief in any court of competent jurisdiction. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

For customers outside the United States, these Terms are governed by the laws of the State of New York, but nothing in these Terms deprives you of the protection of mandatory consumer laws of the country where you live, or of the right to bring proceedings in the courts of that country where those laws require it.

22. Customers outside the United States and mandatory consumer rights

If you live in the European Economic Area, the United Kingdom, Switzerland, Australia, Canada or another country whose laws give consumers rights that cannot be excluded by contract, those rights apply in addition to these Terms, and in the event of conflict prevail. In particular, if you are a consumer in the EEA or the UK you have a statutory right to withdraw from your purchase within 14 days of receiving the goods without giving a reason, and a right to remedies for goods that are not as described or of satisfactory quality; our returns policy in section 9 (30-day returns, exchanges and store credit) applies alongside those rights, and where you exercise the statutory withdrawal right the return conditions and fees in section 9 apply only to the extent permitted by law. Nothing in sections 16, 17 or 20 limits any right or remedy that you have under such laws.

23. Events outside our control

We are not liable for any failure or delay in performing our obligations caused by events beyond our reasonable control, including natural disasters, epidemics, war, terrorism, civil unrest, strikes, carrier or customs delays, failures of suppliers, utilities or telecommunications, cyber-attacks, or government action. We will notify you and resume performance as soon as reasonably possible; if the delay is substantial, either party may cancel the affected order and we will refund any amount paid for undelivered products.

24. General terms

Electronic communications. You consent to receive communications from us electronically (by email, text message or notices on the Services) and agree that they satisfy any legal requirement that communications be in writing. Entire agreement. These Terms, the Privacy Policy and any policies or terms referenced in them or shown at checkout form the entire agreement between you and us regarding the Services and supersede all prior agreements. Assignment. You may not assign or transfer these Terms or your rights under them; we may assign them to an affiliate or a successor to our business, and will tell you if we do. Waiver and severability. Our failure to enforce any provision is not a waiver of it. If any provision is held invalid or unenforceable, it will be enforced to the maximum extent permissible and the remaining provisions remain in full force. No third-party beneficiaries. Except as stated in sections 17, 18 and 20, these Terms do not confer rights on any third party. Headings are for convenience only. Language. These Terms are written in English; translations are provided for convenience and the English version prevails.

Notice to California residents. Under California Civil Code §1789.3, California consumers may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210, to resolve a complaint regarding the Services or to receive further information regarding their use.

25. Changes to these Terms

We may revise these Terms at any time by posting the updated version on the Services and changing the "Last updated" date. Changes take effect when posted, except that changes to section 20 are subject to section 20.9 and changes will not apply to orders we accepted before the change. Your continued use of the Services after a change means you accept the revised Terms, so please review them periodically.
